Terms of Service

These Terms of Service govern your access to and use of the SponsorPay platform. Please read them carefully before using any part of the service.
1.Agreement to Terms
By accessing or using the SponsorPay platform — including the sponsor portal, store portal, or any API integration — you agree to be bound by these Terms of Service in their entirety. If you are using SponsorPay on behalf of an organization, you represent and warrant that you have full authority to bind that organization to these terms.
If you do not agree to these terms, you must immediately stop using the platform. Continued use constitutes acceptance.
2.Platform Intermediary — No Party to Transactions
SponsorPay is a technology platform only. It provides software tools that enable sponsors and stores to create, manage, and record sponsored discount arrangements. SponsorPay is not a party to any agreement between a sponsor and a store, and is not a party to any transaction between a store and a customer.
SponsorPay does not control, endorse, verify, or take responsibility for: the terms agreed between any sponsor and any store; whether any coupon or gift card is honored at checkout; the quality, legality, or suitability of any product or service sold by a participating store; whether any discount campaign complies with applicable law; or the conduct of any sponsor, store, customer, or third party using the platform.
Any disputes between a sponsor and a store — including disputes about redemption amounts, approval terms, payout calculations, or campaign performance — are solely between those parties. SponsorPay has no obligation to intervene, mediate, or resolve such disputes.
3.Description of Service
SponsorPay provides software tools for sponsors to create discount campaigns, for stores to publish discount terms and approve proposals, and for point-of-sale systems to verify and record redemptions. The platform also maintains wallet balances, records ledger transactions, and generates reports based on data submitted by users.
SponsorPay makes no representation that the platform is suitable for any particular purpose. The platform is provided as a general-purpose tool and its fitness for any specific use is not guaranteed.
4.Accounts and Access
You are solely responsible for maintaining the confidentiality of your login credentials and API keys, and for all activity that occurs under your account — whether or not authorized by you. SponsorPay is not liable for any loss or damage resulting from unauthorized use of your account.
API keys must be stored securely and must never be embedded in client-side code, committed to public repositories, or shared with any unauthorized party. A compromised key must be revoked immediately. SponsorPay is not responsible for any transactions, charges, or data exposure resulting from a compromised or misused API key.
5.Sponsor Responsibilities
Sponsors are solely responsible for: defining all campaign rules including eligibility, expiry dates, limits, and budget; ensuring their campaigns comply with all applicable laws and regulations including consumer protection, promotional, and financial laws; maintaining a funded wallet at all times; and keeping payment methods current.
SponsorPay is not responsible for missed, failed, or interrupted redemptions resulting from an insufficient wallet balance, an expired payment method, a suspended account, or any other condition within the sponsor's control.
SponsorPay makes no guarantee that any campaign will result in any redemptions, any level of customer participation, or any particular business outcome for the sponsor.
6.Store Responsibilities
Stores are solely responsible for: accurately configuring discount options and POS discount IDs; reviewing and approving only proposals they intend to honor in full; ensuring their point-of-sale integration correctly scans barcodes, applies discounts, and reports accurate sale totals; and maintaining their store account in active status.
SponsorPay calculates wallet debits and store wallet credits based entirely on redemption data submitted by the store's POS system. SponsorPay is not responsible for errors in reported amounts, misconfigured discount IDs, or incorrect application of discounts at the register. Any resulting financial discrepancy is the store's responsibility.
7.Coupons and Gift Cards
Coupons and gift cards are issued by sponsors and governed by the rules the sponsor configures. SponsorPay records and enforces those rules as configured but makes no guarantee that all rules will prevent all misuse. Sponsors and stores are responsible for their own verification and fraud prevention at the point of sale.
SponsorPay is not liable for any coupon or gift card that is used fraudulently, duplicated, counterfeited, or redeemed in a manner not intended by the sponsor. SponsorPay may void any instrument it determines has been misused, but has no obligation to do so.
8.Payments, Wallets, and Fees
Sponsor wallet balances are prepaid and non-interest-bearing. SponsorPay is not a bank, money transmitter, or financial institution. Wallet balances are not deposits and are not insured by any government agency.
Refund requests for wallet balances are processed at SponsorPay's sole discretion. Funds added directly by SponsorPay administration are not refundable. SponsorPay is not responsible for any loss arising from a failed, delayed, or denied refund.
Store payouts are issued periodically by SponsorPay administration. SponsorPay makes no guarantee of payout timing, frequency, or minimum amount. A payout fee is deducted from each payout at the rate disclosed in the store's account settings. SponsorPay reserves the right to adjust fees at any time.
SponsorPay is not responsible for payment processor errors, bank transfer failures, currency conversion losses, or any third-party fees associated with wallet funding or store payouts.
9.Prohibited Conduct
You agree not to use the platform for any unlawful purpose; submit false, inflated, or fabricated redemption data; attempt to circumvent any limits, verification steps, or approval processes; use or share API keys belonging to another account; attempt to reverse engineer, decompile, or extract source code from any SponsorPay software; or interfere with the platform's infrastructure or other users' access.
SponsorPay may suspend or terminate any account that engages in prohibited conduct without prior notice and without liability for any resulting losses.
10.Disclaimer of Warranties
THE SPONSORPAY PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPONSORPAY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SponsorPay does not warrant that the platform will be available at all times, that access will be uninterrupted or error-free, that data will be accurate or complete, that defects will be corrected, or that the platform or its servers are free of viruses or harmful components.
SponsorPay does not warrant that any redemption will be processed successfully, that any wallet balance will be available when needed, or that any store will honor any coupon or gift card. The platform records what users report — it does not independently verify any transaction.
11.Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPONSORPAY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSS — WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — EVEN IF SPONSORPAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL SPONSORPAY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE LESSER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO SPONSORPAY IN THE THREE CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, SponsorPay's liability is limited to the maximum extent permitted by law.
12.Indemnification
You agree to defend, indemnify, and hold harmless SponsorPay and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: your use of the platform; your violation of these terms; your violation of any applicable law or regulation; any content or data you submit to the platform; any dispute between you and any other user, sponsor, store, or customer; or any claim by a third party arising from your discount campaigns, redemptions, or business operations.
SponsorPay reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You may not settle any such matter without SponsorPay's prior written consent.
13.Force Majeure
SponsorPay is not liable for any failure or delay in performing its obligations under these terms if such failure or delay is caused by circumstances beyond its reasonable control. This includes, without limitation: internet outages, power failures, denial-of-service attacks, cyberattacks, natural disasters, acts of government, pandemics, payment processor failures, or any other event beyond SponsorPay's reasonable control.
In such events, SponsorPay will make reasonable efforts to restore service but assumes no liability for any resulting downtime, missed redemptions, wallet delays, or payout interruptions.
14.Service Modifications and Availability
SponsorPay reserves the right to modify, suspend, or discontinue the platform — or any feature of the platform — at any time, with or without notice, and without liability to you or any third party. SponsorPay makes no commitment to maintain any feature, endpoint, or functionality indefinitely.
Scheduled or unscheduled maintenance, infrastructure upgrades, or third-party service disruptions may temporarily affect platform availability. SponsorPay is not liable for any loss arising from such interruptions.
15.Intellectual Property
SponsorPay retains all rights in the platform, including software, design, trademarks, documentation, and all related intellectual property. These terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely as permitted herein. No other rights are granted.
16.Termination
SponsorPay may suspend or terminate your access to the platform at any time, for any reason or no reason, without prior notice and without liability. Grounds include but are not limited to: violation of these terms, suspected fraudulent activity, non-payment, or any conduct SponsorPay determines is harmful to the platform or to other users.
Upon termination, all licenses granted to you under these terms immediately expire. SponsorPay has no obligation to retain your data after termination. Sponsor wallet balances and store wallet credits on termination are handled at SponsorPay's sole discretion.
17.Modifications to Terms
SponsorPay may update these Terms of Service at any time by revising the date at the top of this page. It is your responsibility to review these terms periodically. Continued use of the platform after any update constitutes your acceptance of the revised terms. If you do not agree to the updated terms, you must stop using the platform.
18.Governing Law and Disputes
These terms are governed by the laws of the jurisdiction in which SponsorPay is incorporated, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these terms or the platform will be resolved exclusively through binding individual arbitration. You waive any right to participate in a class action lawsuit or class-wide arbitration.
If arbitration is found unenforceable for any claim, that claim will be resolved exclusively in the courts of the applicable jurisdiction, and you consent to personal jurisdiction there.
